Terms and Conditions of Service

1. Eligibility

You may only use the Services if all of the following conditions are met. By using the Services, you affirm and represent that each of the following is true:

• Age Requirement: You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater, and you have the full legal capacity to enter into a binding contract with Block Reign.
• Legality: Your access to and use of the Services is lawful under all applicable local, state, national, and international laws, rules, and regulations in your jurisdiction.
• Authority: If you are accessing or using the Services on behalf of any company, organization, or other legal entity, you represent that you have full legal authority to bind that entity to these Terms and that the entity agrees to be bound accordingly.
• No Prior Suspension or Ban: You have not been previously suspended, restricted, or permanently removed from the Services by Block Reign for any violation of these Terms, applicable laws, or for any other reason.
• OFAC & Sanctions Compliance: You are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive U.S. government sanctions, including but not limited to Cuba, Iran, North Korea, Syria, Russia, or any region listed in our OFAC & Sanctions Compliance Statement.

By affirming these conditions, you assume full and sole responsibility for compliance with all applicable legal obligations arising from your use of the Services.

2. Account Registration & Security

Certain portions of the Services require account registration. By creating an account, you agree to the following obligations:

• Accuracy of Information: You must provide truthful, accurate, current, and complete information at the time of registration and update such information promptly whenever it changes. Providing false or misleading information is a material breach of these Terms.
• Credential Security: You are solely responsible for maintaining the strict confidentiality of your account credentials, including usernames, passwords, private keys, seed phrases, and all security-related information. You must not share your credentials with any third party.
• Account Activity: All activities conducted under your account are your sole responsibility. You must immediately notify Block Reign at support@blockreign.tech of any unauthorized access, suspected security breach, or misuse of your account or credentials.
• Suspension or Termination: Block Reign reserves the right, at its sole and absolute discretion, to suspend, disable, restrict, or permanently terminate any account for violation of these Terms, suspected fraudulent or illegal activity, failure to satisfy verification requirements, or to protect the security, integrity, and reputation of the Services and our users.
• Non-Transferability: Your account is personal to you. You may not sell, transfer, assign, or otherwise share your account or account credentials with any other person or entity without prior written consent from Block Reign.

3. Acceptable Use Policy (AUP)

As a condition of your access to and use of the Services, you agree that you will not engage in any activity that violates these Terms, applicable law, or the rights of any third party. The following activities are strictly prohibited:

3.1 Unlawful & Prohibited Conduct

• Illegal Content or Conduct: Uploading, transmitting, distributing, or facilitating the distribution of any content or material that is unlawful, defamatory, obscene, harassing, threatening, abusive, tortious, fraudulent, or otherwise harmful to any person or entity.
• Fraud & Misrepresentation: Engaging in any deceptive, fraudulent, or misleading practices, including impersonating any person or entity, falsely implying affiliation with Block Reign, or misrepresenting the nature of the Services.
• Intellectual Property Infringement: Infringing upon copyrights, trademarks, trade secrets, patents, or other proprietary rights of Block Reign or any third party.
• Market Manipulation: Manipulating, artificially inflating, or otherwise interfering with the value, supply, or trading of any digital rewards, tokens, or blockchain-based assets associated with the Services.

3.2 Security & System Integrity

• Disruption of Services: Attempting to interfere with, disrupt, damage, or disable the Services, or any associated servers, networks, infrastructure, or third-party systems.
• Unauthorized Access: Attempting to gain unauthorized access to any accounts, systems, databases, or data belonging to Block Reign, our users, or any third party.
• Malicious Code & Exploits: Uploading, distributing, or introducing any virus, malware, ransomware, spyware, Trojan horse, or other malicious code or software designed to damage, compromise, or exploit any system or data.
• Automated Scraping or Harvesting: Using bots, scripts, crawlers, spiders, or other automated tools to access, scrape, index, or harvest any content, data, or information from the Services without express written authorization from Block Reign.

3.3 Blockchain & Digital Rewards Compliance

• Mischaracterization: Misrepresenting, marketing, or promoting digital rewards, utility tokens, or any blockchain-based feature of the Services as investment contracts or financial instruments.
• Regulatory Non-Compliance: Failing to comply with applicable tax reporting obligations, anti-money laundering (AML) requirements, know-your-customer (KYC) requirements, Bank Secrecy Act (BSA) obligations, or any other laws governing digital assets, cryptocurrency, or blockchain transactions in your jurisdiction.
• Credential Mismanagement: Mishandling, improperly sharing, or losing private keys, seed phrases, or blockchain wallet credentials. Block Reign is not responsible for and will not recover lost or compromised credentials under any circumstances.

Violations of this AUP may result in immediate suspension or permanent termination of your account, removal of content, recovery of damages, and/or reporting of unlawful activities to relevant law enforcement and regulatory authorities.

4. Intellectual Property Rights

All content, software, technology, trademarks, service marks, logos, product names, documentation, and other proprietary materials associated with the Services are the exclusive property of Block Reign, Inc., its licensors, or third-party partners, and are protected under applicable U.S. and international intellectual property laws.

You agree that you will not, without the prior express written consent of Block Reign:

• Copy, reproduce, modify, adapt, translate, distribute, publish, create derivative works based upon, or publicly display any portion of the Services or its underlying technology;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying technology of the Services;
• Remove, obscure, or alter any copyright notice, trademark, watermark, or other proprietary rights notices contained within the Services.

Subject to your continued compliance with these Terms, Block Reign grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for their intended purposes.

5. User Content & Licensing

By submitting, posting, uploading, or otherwise transmitting any content to or through the Services (“User Content”), you hereby grant Block Reign a worldwide, non-exclusive, royalty-free, fully paid-up, perpetual, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and perform such User Content solely in connection with providing, operating, improving, and promoting the Services.

You represent, warrant, and covenant that:

• You own or have obtained all necessary rights, licenses, consents, and permissions to submit the User Content and to grant the licenses described above;
• The User Content does not and will not infringe, misappropriate, or violate any copyright, trademark, trade secret, right of publicity, privacy right, or other intellectual property or proprietary right of any third party;
• Your submission of User Content complies with all applicable laws and regulations, including those related to data privacy, export controls, and digital assets.

Block Reign reserves the right to remove, restrict, or refuse to display any User Content that, in its sole discretion, violates these Terms or any applicable law.

6. Blockchain Features & Digital Rewards

The Services may include blockchain-based integrations and digital rewards programs designed to enhance user engagement and participation in decentralized ecosystems.

• Utility Tokens Only: Any digital rewards distributed through the Services are strictly utility-based tokens intended for use within the applicable blockchain network or platform. They do not constitute investment contracts, profit-sharing arrangements, or financial instruments of any kind under the laws of any jurisdiction.
• User Responsibility for Credentials: You are solely and exclusively responsible for the security and management of your blockchain credentials, including private keys, wallets, seed phrases, and any associated recovery information. Block Reign does not and will not store, manage, recover, or otherwise assume any responsibility for lost, stolen, or compromised credentials.
• No Performance Guarantees: Block Reign expressly disclaims any warranty or representation regarding the uninterrupted availability, transaction speed, network stability, continued operation, or any future value of any blockchain-based feature, integration, or digital reward.
• Compliance: You are solely responsible for complying with all applicable laws, including those relating to taxation of digital assets, AML, KYC, and any local, state, or federal regulations applicable to your use of blockchain features.

6.1 Centralization and Decentralization Acknowledgment

Block Reign, Inc. is a centralized company that provides technology integrations, platforms, and services. Certain features of the Services may interact with one or more decentralized, community-driven blockchain protocols that are entirely separate and independent from Block Reign.

You acknowledge and expressly agree that:

• Block Reign does not own, operate, control, manage, govern, or direct any decentralized blockchain protocol with which the Services may interact;
• The operation, governance, security, and success of any decentralized protocol are entirely independent from Block Reign’s centralized services;
• Neither the performance nor the success of Block Reign’s Services depends upon or is guaranteed by the performance or success of any decentralized protocol, and vice versa;
• Your interactions with decentralized blockchain protocols are undertaken at your sole risk, and Block Reign expressly disclaims any and all liability for losses, disruptions, exploits, or failures arising from or related to such protocols.

6.2 Sale of Software, Node Licenses & DAO Authorization

Certain products or services made available through Block Reign may include the sale or distribution of software licenses, including licenses commonly referred to as “nodes,” which enable users to operate software supporting the infrastructure, validation, or functionality of a decentralized blockchain network.

Block Reign is authorized to sell or distribute such node software pursuant to authorization granted by the Gnodi Decentralized Autonomous Organization (“Gnodi DAO”), a DAO registered in the State of Wyoming. The Gnodi DAO is a legally separate and independent entity from Block Reign. Purchases of node licenses are governed by this acknowledgment:

• Node licenses are not financial instruments, investment contracts, profit-sharing arrangements, or interests of any kind in Block Reign, the Gnodi DAO, or any blockchain network;
• There is no guarantee, representation, or warranty of profit, return on investment, appreciation, income, rewards, or any other economic benefit of any kind from operating a node or participating in any decentralized blockchain network;
• Any rewards or incentives generated through a blockchain protocol are determined solely by the protocol’s code and governance mechanisms, and are not controlled, promised, or guaranteed by Block Reign.

7. Third-Party Services & Links

The Services may integrate with or provide links to third-party websites, applications, platforms, or services. Block Reign does not control, endorse, sponsor, approve, or assume any responsibility for the content, accuracy, availability, privacy practices, security, or terms of service of any third-party service.

Your access to and use of any third-party service is at your sole risk and is subject exclusively to that third party’s terms and policies. Block Reign expressly disclaims all liability for any damages, losses, or issues arising from your reliance on or use of any third-party service.

8. Termination & Suspension

Block Reign reserves the right, at its sole and absolute discretion, to restrict, suspend, or permanently terminate your access to the Services, at any time, with or without prior notice, for any reason, including but not limited to:

• Actual or suspected violations of these Terms, our Acceptable Use Policy, our Privacy Policy, or any applicable law or regulation;
• Activities that pose a security risk, legal liability, or reputational harm to Block Reign or its users;
• Account inactivity exceeding nine (9) consecutive months;
• Failure to satisfy KYC, AML, or identity verification requirements;
• Any action or omission that Block Reign, in its sole judgment, deems harmful to the integrity, security, reputation, or operation of the Services.

Upon termination or suspension, all licenses and rights granted to you under these Terms will immediately and automatically cease. Block Reign may, in its sole discretion, delete, preserve, or transfer your data and account information in accordance with applicable law.

Termination of your account does not relieve you of any obligations or liabilities incurred prior to the effective date of termination.

9. Privacy & Data Protection

Your use of the Services is governed by our Privacy Policy, which is incorporated herein by reference. The Privacy Policy describes how we collect, use, disclose, retain, and protect your Personal Data and your rights under applicable privacy laws, including GDPR, CCPA/CPRA, and all applicable U.S. state privacy laws in effect as of the date of these Terms.

By using the Services, you consent to the collection, processing, storage, and international transfer of your information as described in the Privacy Policy. If you do not agree to the terms of our Privacy Policy, you must discontinue use of the Services.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLOCK REIGN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND UNINTERRUPTED AVAILABILITY. BLOCK REIGN DOES NOT WARRANT THAT THE SERVICES WILL BE FREE FROM INTERRUPTIONS, DEFECTS, ERRORS, HARMFUL COMPONENTS, CYBERATTACKS, DATA LOSS, OR OTHER FAILURES. ALL RISK ARISING FROM THE USE OF THE SERVICES RESTS SOLELY WITH YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLOCK REIGN AND ITS AFFILIATES, SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, UNDER ANY THEORY OF LIABILITY, EVEN IF BLOCK REIGN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL BLOCK REIGN’S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) $200 OR (B) THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO BLOCK REIGN IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Block Reign, Inc. and its affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, damages, judgments, losses, liabilities, obligations, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your access to or use of the Services, including any blockchain features or digital rewards programs;
• Your violation of any provision of these Terms, our Acceptable Use Policy, or our Privacy Policy;
• Your violation of any applicable federal, state, local, or international law, rule, or regulation;
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights;
• Any User Content you submit, post, or transmit through the Services;
• Any dispute between you and any third party arising from your use of the Services.

13. Governing Law, Mediation & Arbitration

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to any conflict of law provisions.

13.1 Mediation Requirement

Before initiating formal arbitration or litigation, the parties agree to attempt in good faith to resolve any dispute through non-binding, confidential mediation for a period of at least sixty (60) calendar days from the date the dispute is formally submitted in writing to the other party.

13.2 Binding Arbitration & Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute not resolved through mediation shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and seated in Wilmington, Delaware. The arbitrator’s decision shall be final and binding. BY AGREEING TO THESE TERMS, YOU EXPRESSLY WAIVE YOUR RIGHT TO A JURY TRIAL. All claims must be brought in your individual capacity, not as a class member in any class or representative proceeding.

14. Force Majeure

Block Reign shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, cyberattacks, internet service outages, or power failures. Block Reign will use commercially reasonable efforts to resume performance as soon as practicable.

15. Modifications to Terms

Block Reign reserves the right to amend these Terms at any time. When we make material changes, we will notify you by updating the Effective Date above and, where required by applicable law, by providing additional notice. Your continued use of the Services following the effective date of any modification constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, such provision shall be deemed severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, the Disclaimer, the OFAC & Sanctions Compliance Statement, and any additional terms expressly incorporated herein, constitute the entire agreement between you and Block Reign with respect to the Services and supersede all prior agreements and understandings, whether written or oral.
